License Agreement for BuiltDiv Studios, LLC

This General License Agreement ("License Agreement for BuiltDiv Studios, LLC") is a legal agreement between you and BuiltDiv Studios, LLC regarding the use of digital assets purchased from BuiltDiv Studios, LLC through our game asset shop ("https://builtdivstudios.itch.io/").

1. Grant of License

Upon purchasing an Asset from the Shop, the Licensor grants the Licensee a non-exclusive, non-transferable, worldwide license to use, modify, and incorporate the Asset into your own personal or commercial projects, including but not limited to video games, applications, animations, and other multimedia projects.

2. Permitted Uses

The Licensee is permitted to:

• Use the Asset in personal and commercial projects.
• Modify, alter, and incorporate the Asset into your own original projects.
• Distribute projects that incorporate the Asset, provided that the Asset is not the primary value of the distributed product.

3. Restrictions

The Licensee is NOT permitted to:

• Resell, redistribute, or transfer the Asset in its original or modified form, either on its own or as part of a competing product (e.g., another asset pack or game asset shop).
• Offer the Asset as a downloadable resource for others, even if modified.
• Use the Asset in any unlawful, illegal, or defamatory manner.

4. Ownership

All rights, title, and interest in the Assets, including intellectual property rights, remain the exclusive property of the Licensor. The Licensee only obtains the right to use the Assets as specified in this Agreement.

5. Liability

The Assets are provided "as is" without warranty of any kind, either expressed or implied. The Licensor will not be liable for any claims, damages, or other liabilities arising from the use or inability to use the Assets.

6. Termination

This License Agreement is effective until terminated. Your rights under this License will terminate automatically without notice from the Licensor if you fail to comply with any terms of this Agreement. Upon termination, you must cease all use of the Assets and destroy all copies, including any modified versions, in your possession.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of laws principles.

8. Amendments

The Licensor reserves the right to amend this Agreement at any time. The Licensee is responsible for reviewing the terms periodically for any updates.

By purchasing, downloading, and/or using any Asset from the Shop, you acknowledge that you have read, understood, and agree to be bound by the terms of this License Agreement.
